Metec Electronics Pvt Ltd. has been penalized for concealing its beneficial ownership links to the Metec Group of Companies in China and Hong Kong. The company, along with related individuals and entities, has been fined over 21 lakh rupees by the Registrar of Companies (RoC).
In a significant move to combat corporate irregularities, the Registrar of Companies (RoC) has imposed substantial penalties on an Indian company, Metec Electronics Pvt Ltd, and its associated individuals and entities for concealing their beneficial ownership links to a Chinese group. The company has been penalized for violating various provisions of the Companies Act, 2013, related to the declaration of beneficial interest in shares and significant beneficial ownership.

Penalties for Non-Disclosure of Beneficial Ownership
Under Section 89 of the Companies Act, which pertains to the declaration of beneficial interest in shares, the RoC has levied penalties totaling Rs 10,21,600 on China's Metec Electronics and three individuals: Chen Feiyan, Yang Wen, and Vikash Bhardwaj. Each of them has been directed to pay a penalty of Rs 2,55,400, as per an order dated January 8.
Additional Fines for Violating Significant Beneficial Owner Declaration
Furthermore, fines amounting to Rs 11,16,200 have been imposed for violating Section 90, which mandates individuals to declare their status as significant beneficial owners. The order specifies a total fine of Rs 5 lakh on Metec Electronics Pvt Ltd, Rs 3 lakh on Jiangping Hu (the significant beneficial owner of Metec Electronics Pvt Ltd), and Rs 1 lakh on Vikash Bhardwaj. Additional fines of Rs 1 lakh on Chen Feiyan, Rs 83,400 on Subodh Kumar, and Rs 32,800 on Mohd Rafeek Saifi have also been imposed.
Restrictions on Future Agreements and Payments
In addition to the financial penalties, the RoC has imposed stringent restrictions on Metec Electronics Pvt Ltd. The company has been prohibited from entering into any fresh agreements with Shenzen Beyear Appliances Co Ltd, Shenzen Applessun Electronic Co Ltd, Dongguan Meisen Electronics Co Ltd, or any other entity or individual associated with the Metec Group of Companies in China or Hong Kong. Moreover, the company is barred from making any payments to these entities, except for goods already received or in transit as of the date of the January 8 order. These restrictions will remain in place until the Indian company declares the names of the registered and beneficial owners of its shares.
Uncovering Hidden Connections
The RoC's investigation revealed the company's undisclosed ties to the Chinese group through various sources, including applications for trademarks and financial statements. It was discovered that Metec Electronics Pvt Ltd was applying for the same trademarks as the Chinese companies within the group. Additionally, disclosures made to Indian trademark authorities indicated that the Indian company had explicitly stated its usage of the Meisen trademark in China.
Significant Positions Held by Foreign Nationals
Further scrutiny of the registry information of the Chinese companies revealed that foreign nationals employed by Metec in India actually held significant positions within the Chinese entities. Moreover, the financial statements of the Indian company indicated that the Metec group of companies in China were considered entities under common control. The sole foreign director of the company also had clear connections to the Chinese group.
Government's Stance on Chinese Entities
In recent years, the Indian government has taken a firm stance against various Chinese entities for alleged wrongdoings. This latest action against Metec Electronics Pvt Ltd and its associated individuals and entities underscores the government's commitment to ensuring transparency and compliance with corporate regulations.
