With a fleet of 6,177 vehicles, VRL Logistics, a well-known logistics and transport firm in the country, is now the largest fleet owner of commercial vehicles in India. Founded in 1976, VRL is a publicly traded business on the NSE and BSE. As of July 7, its market value was Rs 5,267 Cr. For the first time in its history, VRL Logistics has announced bonus shares. VRL Logistics Bonus Shares
"Pursuant to the provisions of Regulation 30 read together with Para A of Part A of Schedule III of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, we hereby inform that the Board of Directors of the Company at its meeting held on today, i.e., 4 July 2025, have, interalia, considered and approved (subject to approval of the shareholders) the issue of bonus shares in the ratio of 1:1, i.e., 1 (one) new fully paid-up equity share of Rs 10/- (Rupees Ten Only) each for every 1 (one) existing fully paid-up equity share of Rs 10/- (Rupees Ten Only) each, to the eligible equity shareholders of the Company as on the record date, by capitalization of free reserves and accumulated surplus. The record date will be intimated separately," VRL Logistics said in a regulatory filing.
8,74,68,495 equity shares of Rs.10/- each (fully paid up) is the total number of securities proposed to be issued or the total amount for which the securities will be issued (approximately) as a part of bonus issue by VRL Logistics as per a stock exchange filing.
On or before September 2, 2025 is the estimated date by which such bonus shares would be credited/dispatched, VRL Logistics further informed the stock exchanges.
VRL Logistics Financials
In Q4 FY25, the company's net profit increased 244.71% to Rs 74.25 crore from Rs 21.54 crore in Q4 FY24. In the quarter that ended in March 2025, revenue from operations climbed 5.84% to Rs 809.03 crore from Rs 764.40 crore in the fourth quarter of FY24. Profit before tax was Rs 99.60 crore, up 242.15% from Rs 29.11 crore in the year-ago quarter. EBITDA went up by 73% to Rs 189.12 crore, while the EBITDA margin grew from 14% to 23%. At Rs 711.95 crore, the quarter's overall expenses declined 4.19% YoY.
VRL Logistics Share Price Target
"VRL Logistics stock price is bearish & also overbought on the Daily charts with strong resistance at 631. Investors should be booking profits as a Daily close below support of 590 could lead to a target of 549 in the near term," commented A R Ramachandran, independent research analyst.
