Cognition has acquired Windsurf, an AI coding company, amid fierce competition for AI talent. The deal promises benefits for Windsurf employees while enhancing Cognition's capabilities.
Artificial intelligence startup Cognition has announced its acquisition of Windsurf, an AI coding company. This comes shortly after Windsurf's CEO and several senior employees joined Google. The acquisition includes Windsurf's intellectual property, products, trademark, brand, and talent. However, the financial details of the deal remain undisclosed. This move highlights the ongoing competition among tech giants like Meta, Google, and OpenAI for top AI talent.

OpenAI was previously in discussions to acquire Windsurf for approximately $3 billion in April. However, the deal did not materialise. Subsequently, Google hired Windsurf's co-founder and CEO Varun Mohan. Google is reportedly paying $2.4 billion in licensing fees and compensation as part of this arrangement.
AI Talent War Intensifies
Cognition is renowned for its AI coding agent named Devin, which aids engineers in accelerating software development. As of March, Cognition had secured hundreds of millions in funding with a valuation nearing $4 billion, according to Bloomberg. Both Cognition and Windsurf are backed by Peter Thiel's Founders Fund. Other investors in Windsurf include Greenoaks, Kleiner Perkins, and General Catalyst.
In a memo to employees on Monday, Cognition CEO Scott Wu emphasised that all new employees would be treated equally with transparency and respect. "After today, our efforts will be as a united and aligned team," Wu stated. "There's only one boat and we're all in it together."
Employee Benefits Highlighted
The acquisition ensures that all Windsurf employees are treated respectfully during this transition. Employees will financially benefit from the deal with vesting cliffs waived for their work to date and fully accelerated vesting for their contributions.
Jeff Wang, interim CEO of Windsurf, expressed his feelings on X on Monday: "I'm overwhelmed with excitement and optimism, but most of all, gratitude." He praised the resilience of Windsurf's team during challenging times.
Future Prospects
Cognition did not immediately respond to CNBC's request for comment regarding the acquisition details. Meanwhile, Windsurf directed inquiries to Cognition.
"There's never been a more exciting time to build," Wu wrote in his memo. The acquisition marks a significant step forward for both companies as they navigate the competitive landscape of artificial intelligence development.
