In a significant development, Kotak Mahindra Bank announced on Friday that Zurich Insurance Company has agreed to acquire a 70% stake in its general insurance subsidiary, Kotak Mahindra General Insurance Company. This revised agreement marks a departure from the initial plan announced in November 2022, where Zurich Insurance intended to acquire a 51% stake in Kotak Mahindra General through a combination of capital infusion and share purchase.

Revised Stake Acquisition Details
According to the revised agreement, Zurich Insurance will now acquire a 70% stake in Kotak Mahindra General through a combination of primary and secondary acquisitions in a single tranche. The total consideration for this increased stake amounts to approximately Rs 5,560 crore. This revised proposal supersedes the earlier announced acquisition plan.
Unchanged Transaction Terms
While the stake acquisition percentage has been revised, the other terms of the transaction remain unchanged. The proposed 70% acquisition is subject to the fulfillment of customary conditions precedent, including obtaining regulatory approvals from the Reserve Bank of India (RBI) and the Insurance Regulatory and Development Authority of India (IRDAI).
Regulatory Guidelines for Foreign Ownership
As per the current regulatory guidelines in India, a foreign entity can own up to 74% in an insurance venture. This revised agreement aligns with these guidelines and allows Zurich Insurance to increase its stake in Kotak Mahindra General Insurance.

Earlier this month, the Competition Commission of India (CCI) approved the acquisition of a 70% stake by Zurich Insurance Company Ltd in Kotak Mahindra General Insurance Company Ltd. Zurich Insurance Company Ltd is a wholly-owned subsidiary of Zurich Insurance Group Ltd, a leading multi-line insurer serving individuals and businesses in over 200 countries and territories.
The increased stake acquisition by Zurich Insurance in Kotak Mahindra General Insurance signifies the growing interest of foreign investors in India's insurance sector.
