Nodwin Gaming, the esports subsidiary of Nazara Technologies, has announced a substantial €8 million (approximately Rs 75 crore) investment in Freaks 4U Gaming, a global full-service agency specializing in esports and gaming. This investment secures Nodwin Gaming a 13.51% stake in the Berlin-based company, marking a pivotal moment for both entities as they join forces to enhance their presence in the global gaming landscape.
Nodwin Gaming's Singapore subsidiary is set to inject €4.4 million (about Rs 41 crore) to acquire a 7.4% stake in Freaks 4U Gaming. Additionally, the company is converting its €3.6 million (Rs 33.26 crore) investment, initially made through a convertible note in December 2023, into a 6.1% stake.

As part of the deal, Nodwin Gaming also secures the right to acquire majority control of Freaks 4U Gaming through a stock swap with shares of Nodwin Gaming in the future. This manoeuvre sets the stage for deeper collaboration between the two entities, leveraging each other's strengths to navigate the diverse landscapes of emerging and developed esports markets.
Founded in 2011, Freaks 4U Gaming has established itself as a global leader in the esports and gaming industry. The Berlin-based firm offers a comprehensive suite of services, including strategic brand and marketing consultancy, social media and community management, editorial services, event management and logistics, and creative services. Boasting over 190 employees and regional offices across Europe, Asia, and North America, Freaks 4U Gaming has positioned itself as one of the foremost esports content creators globally.
In August 2021, the company secured €15 million from Co-Investor Partners, highlighting its appeal to private equity investors focused on high-growth companies. With a turnover of €38.25 million as of December 31, 2022, Freaks 4U Gaming has become a formidable player in the esports industry.
Both entities will exclusively utilize resources in each other's key territories, including personnel, equipment, and facilities. This strategic partnership allows Nodwin Gaming to tap into the developed markets, the PC ecosystem, and the full-service capabilities of Freaks 4U Gaming. Simultaneously, Freaks 4U Gaming gains access to Nodwin Gaming's emerging market network and facility capabilities in the mobile esports and youth culture ecosystems.
Akshat Rathee, Co-founder of Nodwin Gaming, expressed enthusiasm about the collaboration, stating, "Our collaborative journey with Freaks 4U Gaming is growing stronger, especially in the realms of PC and mobile gaming. We hold continuous admiration for the team at Freaks as we jointly explore new avenues for cooperation."
Nodwin Gaming announced the appointment of Niels Wolter, from the ESL Faceit group, as a nominee on the advisory board of Freaks 4U Gaming. Wolter will play a crucial role in consulting on strategy, operations, and integration, ensuring that the identified synergy benefits materialize in a timely manner. Michael Haenisch, CEO of Freaks 4U Gaming, expressed excitement about the collaboration, especially under Akshat Rathee's leadership.
"Under Akshat's leadership, Nodwin has become a force to be reckoned with in the emerging market and the global landscape of gaming and esports. I am excited to be working alongside Akshat and his team, as we further our discussions on how Freaks and Nodwin will collaborate and grow together in this strategic alliance," Haenisch stated.
This investment in Freaks 4U Gaming comes on the back of Nodwin Gaming's series of strategic moves to expand its footprint in both Indian and international markets. In May 2023, the company raised $28 million from new investors Sony Group Corporation and Innopark, as well as existing investors such as Nazara, Krafton, and JetSynthesys. This funding round valued Nodwin Gaming at $349 million.
In recent acquisitions, Nodwin Gaming purchased Comic Con India for Rs 55 crore, adding pop culture festivals to its diverse portfolio. The acquisition of game marketing agency Publishme in October 2023 further strengthened its offerings for brands and publishers. Other strategic moves include acquiring a 51% stake in Singapore-based live events firm Branded, the gaming and adjacent IP businesses of OML Entertainment, a 10.26% stake in digital media firm Rusk Media, a 35% stake in gaming accessories maker Brandscale Innovations, and the purchase of comics and pop culture retailer Planet Superheroes.
Nazara Technologies' shares were seen trading with gains of nearly 2% at Rs 884.65 per share as of 11:15 am on the National Stock Exchange (NSE). Over the last year, the stock has yielded returns of nearly 50% for investors.
As Nodwin Gaming continues to strengthen its position in the esports and gaming industry through strategic partnerships and acquisitions, the collaboration with Freaks 4U Gaming emerges as a pivotal chapter in its global expansion journey. With both entities bringing their unique strengths to the table, the alliance is poised to create new opportunities and set new standards in the world of esports.
