On September 17, 2025, the FCCB Committee of Paisalo Digital Limited's Board of Directors reviewed and approved the conversion of 4000 Foreign Currency Convertible Bonds (FCCBs) in accordance with the terms of the FCCBs outlined in the Offering Circular, which resulted in the allocation of 74,03,585 equity shares with a face value of Re. 1/-each.

The fully paid-up equity capital of the company has grown from Rs. 90,21,18,289/-, which consisted of 90,21,18,289 equity shares of Re. 1/- each, to Rs. 90,95,21,874/-, which consists of 90,95,21,874 equity shares of Re. 1/- each, as a result of the aforementioned equity share allotment.
The successful issuance of Paisalo's first USD 50 million Foreign Currency Convertible Bond (FCCB) in fiscal year 2025 is a landmark event that not only demonstrates the trust of foreign investors but also supports the company's goal of growing its worldwide presence. In FY25, the corporation issued US $50 million (about Rs 4,233 million) in First Foreign Currency Convertible Bonds (FCCBs), of which US $2 million was converted into share capital.
In its FY25 annual report, Paisalo Digital noted that "During the year 2024-25, the Company has issued 50,000 7.50% Foreign Currency Convertible Bonds (FCCBs) of USD 1000 each aggregate amount USD 50 million equivalent to Rs. 423.30 crores. Out of such FCCBs, FCCBs of USD 2 million has been converted into 37,01,792 equity share at Re.1 each at a premium of Rs. 44.74 per equity share. Further, USD 48 million FCCBs (ISIN-XS2952463086) has also been listed on Afrinex Exchange, Mauritius of AFRINEX Limited w.e.f. March 24, 2025. FCCB has also been revalued on the fair market value as on 31.03.2025."
On October 30, 2025, the Paisalo Digital Limited Board of Directors will convene to discuss and approve the proposal to raise funds through the issue of non-convertible debentures on a private placement basis.
