Blue Cloud Softech Solutions Limited has secured in-principle exchange approval for a share-swap acquisition of AIS Anywhere, while also winning a large AI data services mandate worth about Rs. 110.08 crores from Stratos Forge Inc., signalling material expansion in both its ownership structure and operational pipeline.

Stratos Forge Inc., headquartered at 317 George Street, Suite 320, New Brunswick, NJ 089013, USA, has awarded Blue Cloud Softech Solutions Limited a full-scale order for Data Annotation and AI Training Services after a pilot assignment valued at around Rs. 18.00 crores delivered an annotation accuracy of 96.68% across all agreed parameters.

Following the pilot, Stratos Forge Inc. is now rolling out a comprehensive engagement with an estimated commercial value of Rs. 110.08 crores, which will rely on Blue Cloud Softech Solutions Limited’s internal delivery capabilities and its Center of Excellence partnerships with academic and research institutions to support large, accurate AI data operations at scale.

In line with a notification dated December 7, 2025, the Board of Blue Cloud Softech Solutions Limited will meet at the registered office on December 10, 2025, at 4:00 PM, to formally approve and complete the issuance of equity shares proposed under this swap-based preferential issue.

The preferential offer covers 31,68,00,000 equity shares, with 14,10,75,000 earmarked for promoter Mrs. Janaki Yarlagadda and 17,57,25,000 to be issued to non-promoter M/s Siraj Holdings LLC, reflecting a structured distribution between promoter and external investor participants within the acquisition-linked transaction.
